1.1

These Terms and Conditions (“Terms”) govern your use of the mobile game Idle Investor (the “Game”) and related services (“Services”) made available through the Google Play Store and associated digital platforms. The Game and Services are provided by 123 s.r.o., with registered offices at Sokolovská 100, Prague, Czech Republic (referred to as “123”, “we”, or “us”).

1.2

The Game is intended exclusively for natural persons acting as consumers under applicable law. Any commercial or professional use is prohibited unless explicitly permitted in writing by 123.

1.3

By downloading, installing, accessing, or using the Game, you accept and agree to be bound by these Terms. Any alternative or conflicting terms proposed by users shall not apply.

1.4

These Terms are available within the Game, during the installation process, and on the official website for Idle Investor.

1.5

If you are below the age of legal majority in your jurisdiction, your parent or legal guardian must review and accept these Terms on your behalf.

1.6

Parents or legal guardians are encouraged to supervise minors' use of the Game and make use of parental control features provided by their device or by the Google Play Store.

2.1

A binding agreement is formed between you and 123 upon downloading the Game from an official app distribution platform such as the Google Play Store.

2.2

The Game is available as a free-to-play application. Optional premium content (e.g. virtual currency or boosters) may be offered for purchase through Google Play billing or a third-party secure payment provider. We do not store or process payment information directly.

2.3

This agreement remains in effect until terminated by either party. You may terminate it at any time by uninstalling the Game. 123 may terminate the agreement at any time with four (4) weeks’ notice or immediately for cause.

2.4

No refunds are provided upon termination, including for unused virtual currency or premium content. Any outstanding amounts remain payable even after termination.

2.5

123 may modify, update, suspend, or discontinue the Game or any part of the Services at its sole discretion and without liability.

2.6

Accounts and digital items are personal and non-transferable. Attempting to sell or transfer accounts or content may result in immediate suspension or termination without refund.

3.1

Gameplay data, progress, and purchases may be stored by 123 or its authorized partners. Details are available in the applicable Privacy Policy.

3.2

You are responsible for maintaining the confidentiality of your login credentials. 123 is not liable for any unauthorized access resulting from user negligence.

3.3

Usernames or other identifiers used within the Game must not violate applicable laws or these Terms. 123 reserves the right to modify or remove inappropriate identifiers at its discretion.

4.1

Premium content or virtual goods become available once payment is successfully processed via Google Play or another authorized payment processor, provided at the checkout.

4.2

All payments are subject to applicable Google Play policies and local consumer protection laws. Refunds are only granted in accordance with those policies or statutory rights.

4.3

Prices shown in the Game or relevant store apply at the time of purchase. These prices may vary by region and include VAT, where applicable.

4.4

Virtual items (such as “Investor Points”) are for use exclusively within the Game. They do not represent real money, are non-redeemable, and cannot be exchanged outside of the Game environment unless otherwise provided due to the permanent discontinuation of the Game.

4.5

You are responsible for any fees or charges incurred from payment failures, rejections, or chargebacks by your payment provider.

4.6

We reserve the right to restrict or suspend access to premium content in the event of unresolved payment issues, suspected fraud, or breach of these Terms.

4.7

Premium content offerings may be introduced, modified, or removed at any time. Where appropriate, transitional access or equivalent items may be provided.

4.8

If you have questions or issues regarding premium content or purchases, you may contact 123 directly. However, if your payment was processed via Google Play, refund requests and billing disputes may also need to be addressed through Google Play in accordance with their terms and policies.

5.1

Some Services may be offered on a subscription basis. By subscribing, you confirm that all information provided is accurate and that you authorize the recurring billing.

5.2

Subscriptions are managed through your Google Play account and can be canceled or modified via platform settings.

5.3

Subscription fees may be adjusted. Users will be notified in advance. Continued use after changes constitutes acceptance of the new pricing.

5.4

Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing cycle.

5.5

Free trial periods may be offered, after which the subscription converts to a paid plan unless canceled before the trial expires. Free trials are limited to one per user.

6.1

If you are a consumer residing in the European Union or European Economic Area, you may have the right to withdraw from a paid agreement within 14 days of purchase without stating a reason — unless you have expressly waived this right in accordance with applicable law.

6.2

The right of withdrawal does not apply once the digital content has been delivered and you have:

• given your prior express consent to immediate delivery, and

• acknowledged the loss of your withdrawal right.

This applies to in-game items, virtual currency, or content delivered immediately after purchase.

6.3

If your withdrawal is valid, we will refund the purchase amount using the original payment method within 14 days of receiving your notice.

7.1

You must not use bots, scripts, or automated tools to manipulate Game mechanics or systems.

7.2

Unauthorized access to premium content or exploitation of bugs, vulnerabilities, or errors is prohibited.

7.3

Reverse engineering, data scraping, or extracting any part of the Game code or content is not allowed.

7.4

Buying, selling, or trading in-game items or accounts outside of authorized channels is strictly prohibited.

7.5

Content or behavior that is illegal, offensive, harmful, or harassing will not be tolerated. This includes hate speech, impersonation, and threats.

7.6

123 reserves the right to remove any inappropriate or non-compliant content and may suspend or ban accounts in response to violations.

7.7

The Game is provided solely for personal, non-commercial use.

7.8

Violations of these Terms may result in warnings, temporary suspensions, or permanent bans, at our sole discretion.

7.9

Users are responsible for regularly backing up important data. 123 does not guarantee data recovery in the event of loss.

8.1

You are granted a limited, non-exclusive, non-transferable license to access and use the Game. You may not copy, distribute, reverse engineer, modify, or sublicense any part of the Game.

8.2

If you submit feedback, suggestions, or improvements regarding the Game, you grant 123 an unlimited, irrevocable, royalty-free right to use and incorporate such feedback into current or future products.

8.3

You agree to indemnify and hold 123 harmless from any claims, damages, or liabilities arising from your breach of these Terms or misuse of the Game.

9.1

For free services, 123 is liable only in cases of intentional misconduct or gross negligence.

9.2

123 may modify, discontinue, or restrict features of the Game at any time. You are only entitled to access the current version.

9.3

We do not guarantee uninterrupted availability, performance, or compatibility with all devices.

9.4

For paid content, applicable consumer protection and warranty laws apply.

9.5

In the event of data loss, liability is limited to the cost of data restoration, assuming the user maintained regular backups.

10.1

123 may amend these Terms at any time with future effect.

10.2

Users will be informed of material changes at least four (4) weeks in advance. Continued use of the Game constitutes acceptance of the revised Terms.

10.3

In some cases, you may be required to explicitly accept updated Terms before continuing to access the Game.

10.4

If you reject the new Terms, you may lose access to certain or all features of the Game.

11.1

These Terms shall be governed by the laws of the Czech Republic, excluding its conflict-oflaw principles.

11.2

If you are a consumer residing in the EU/EEA, mandatory consumer protection provisions of your home country apply and are not affected by this choice of law.

11.3

Any legal disputes shall be resolved by the competent courts in Prague, Czech Republic, unless otherwise required by mandatory law.
